Board of DirectorsThe Board of Directors should guide the company's strategy, supervise the management team, and oversee its committees.
Audit Committee

1. Establish or amend internal control systems in accordance with Article 14-1 of the Securities and Exchange Act.

2. Assess the effectiveness of the internal control system.

3. Establish or amend procedures for acquiring or disposing of assets, engaging in derivative transactions, lending funds to others, endorsing or providing guarantees for significant financial transactions, in accordance with Article 36-1 of the Securities and Exchange Act.

4. Matters involving conflicts of interest for directors.

5. Major asset or derivative transactions.

6. Significant fund lending, endorsements, or guarantees.

7. Issuance, offering, or private placement of equity-type securities.

8. Appointment, dismissal, or remuneration of certified public accountants.

9. Appointment or dismissal of financial, accounting, or internal audit officers.

10. Quarterly and annual financial reports signed or sealed by the chairman, managers, and chief accounting officer.

11. Other major matters as stipulated by the company or regulatory authorities.
Compensation Committee The committee shall perform its duties with the care of a prudent administrator and submit its recommendations to the Board of Directors for discussion:

1. Formulate and periodically review policies, systems, standards, and structures for evaluating the performance and remuneration of directors and managers.

2. Regularly assess the achievement of performance targets for directors and managers and determine their individual compensation and remuneration amounts.
Sustainable Development Committee 1. Formulate corporate sustainability strategies, systems, and related management guidelines, as well as review the corporate sustainability report.

2. Plan and guide sustainability initiatives to align with international standards and comply with relevant regulations.

3. Establish specific directions and goals for sustainable development.

4. Develop annual work plans and allocate resources for sustainable development, while reviewing implementation effectiveness.

5. Supervise the timeliness and accuracy of sustainability-related information disclosure.

6. Address other major matters stipulated by the company or regulatory authorities.
