Board of Directors

In accordance with Ennoconn’s Articles of Incorporation, the Board of Directors currently consists of seven directors, four of whom are independent and are eligible for re-election for a term of three years. The Chairman of the Board is elected by the Directors from among themselves. The Chairman of the Board of Directors represents the company externally and manages all important affairs of the company. The company has taken liability insurance for the scope of business performed by all Directors.

The term of office of the Board of Directors is from 2022/06/23 to 2025/06/22

The Board of Directors has established a Compensation Committee pursuant to Article 14-6 of the Securities and Exchange Act and an Audit Committee pursuant to Article 14-4 of the Securities and Exchange Act.

Diversity on the Board of Directors

In accordance with Article 20 of the Company’s “Code of Corporate Governance Practices”, the composition of the Board of Directors shall take into account diversity. In addition to the fact that the number of directors who are also managers of the company shall not exceed one-third of the total number of directors, appropriate diversity guidelines shall be formulated with respect to the company’s operation, business model and development needs, which shall include, but not be limited to, the following two major criteria.

  1. Basic conditions and values: gender, age, nationality and culture, etc.
  2. Professional knowledge and skills: professional background (e.g. law, accounting, industry, finance, marketing or technology), professional skills and industry experience, etc.

Board members should generally possess the knowledge, skills and qualities necessary to carry out their duties. In order to achieve the desired objectives of corporate governance, the Board as a whole should possess the following competencies.
